This Acceptable Use Policy ("Policy") governs the use of StemTrackr™, the BelaStem Marketplace, Ask Rosie™, related APIs, integrations, operational tools, ecommerce functionality, marketplace services, and associated technology platforms provided by BelaStem, Inc. ("BelaStem").
By accessing or using the platform, Customer agrees to comply with this Policy.
1. Purpose
The purpose of this Policy is to promote:
- Marketplace integrity
- Operational reliability
- Customer trust
- Platform security
- Lawful commerce
- Responsible use of the BelaStem ecosystem
2. Accurate Information Requirements
Customers must provide and maintain accurate and current information related to:
- Inventory availability
- Product descriptions
- Pricing
- Certifications
- Shipment information
- Export documentation
- Customer communications
- Operational data
Customers may not knowingly:
- Upload false or misleading inventory
- Misrepresent product origin or certifications
- Submit inaccurate shipment information
- Manipulate pricing or availability data
- Provide fraudulent customer or payment information
3. Marketplace Integrity
The BelaStem Marketplace is intended to support a trusted network of growers, floral professionals, buyers, and operational partners.
Customers agree not to:
- Intentionally circumvent the Marketplace to avoid applicable fees or participation requirements
- Misuse Marketplace-generated customer information
- Scrape or harvest customer data
- Create fake inquiries, listings, or transactions
- Interfere with Marketplace operations
- Engage in deceptive sales or fulfillment practices
- Repeatedly cancel accepted orders without reasonable cause
BelaStem reserves the right to review and investigate conduct that may materially undermine the integrity or reliability of the Marketplace network.
4. Prohibited Activities
Customers may not use the platform to:
- Engage in fraud or deceptive conduct
- Violate applicable laws or regulations
- Facilitate illegal exports or shipments
- Distribute malware or malicious code
- Interfere with system security or operations
- Reverse engineer or attempt unauthorized access to the platform
- Impersonate another individual or business
- Conduct unlawful spam or mass solicitation
- Upload unlawful, defamatory, abusive, or infringing content
5. Export, Shipping, and Regulatory Compliance
Customers remain solely responsible for:
- Export compliance
- Customs compliance
- Phytosanitary compliance
- Product legality
- Shipment contents
- Regulatory approvals
- Labor compliance
- Tax filings
- Governmental filings
BelaStem provides operational software tools and workflow functionality only and does not guarantee regulatory compliance.
6. Product Quality and Fulfillment
Customers participating in the Marketplace remain solely responsible for:
- Product quality
- Shipment preparation
- Packaging
- Fulfillment accuracy
- Product condition
- Export readiness
Customers may not knowingly ship:
- Damaged products
- Materially incorrect products
- Prohibited products
- Undeclared shipment contents
7. Customer Communications
Customers must conduct communications with buyers, growers, and Marketplace participants in a professional and lawful manner.
Harassment, abuse, threats, discriminatory conduct, or repeated unsolicited communications are prohibited.
8. Payment and Transaction Abuse
Customers may not:
- Engage in payment fraud
- Abuse refunds or chargebacks
- Manipulate transactions
- Submit fraudulent invoices
- Evade applicable Marketplace fees
- Misuse payment processing systems
9. AI Functionality and Automation
Ask Rosie™ and related AI functionality may provide:
- Operational recommendations
- Inventory suggestions
- Product normalization suggestions
- Reporting insights
- Workflow assistance
Customers acknowledge that AI-generated outputs may contain inaccuracies and should be independently reviewed.
Customers may not use the platform or AI functionality to:
- Generate unlawful content
- Conduct spam or automated harassment
- Create deceptive listings or communications
- Interfere with platform operations
10. Data Usage and Platform Security
Customers may not:
- Scrape or harvest platform data
- Attempt unauthorized API access
- Interfere with system performance
- Bypass security controls
- Use automated tools to access data without authorization
- Copy or reproduce platform functionality without permission
11. Enforcement
BelaStem reserves the right, in its reasonable discretion, to:
- Investigate potential violations
- Remove content or listings
- Suspend Marketplace participation
- Restrict account access
- Terminate platform access
- Cancel transactions
- Take operational or legal action necessary to protect the integrity, security, reliability, or reputation of the platform
12. Reporting Violations
Customers may report suspected violations of this Policy to BelaStem through designated support or compliance channels at [email protected].
13. Modifications
BelaStem may modify this Policy from time to time. Continued use of the platform following updates constitutes acceptance of the revised Policy.
14. Relationship to Other Agreements
This Policy supplements the:
- StemTrackr™ Master Services Agreement
- Marketplace Participation Terms
- Privacy Policy
- Related platform agreements
In the event of conflict, the applicable Master Services Agreement shall control unless otherwise stated.
